2. Scope and Priority of Agreements
These General Terms and Conditions ("Terms") apply to all services provided by Expandio LLC ("Expandio", "we", "us") to its clients ("Client", "you"), unless a separate written agreement or contract has been concluded.
If a separate written agreement exists, that agreement shall take precedence over these Terms. These Terms apply in particular to one off services, consulting services, advertising services, and short term engagements where no individual contract is signed.
Any terms and conditions of the Client shall not apply unless expressly accepted by Expandio in writing.
3. Definitions
Services means the work agreed between Expandio and the Client, including consulting, advertising, and digital services.
Deliverables means any materials or outputs provided by Expandio as part of the Services.
Third Party Platforms means external platforms or providers, including advertising networks, social media platforms, hosting providers, and payment providers.
4. Services and No Guaranteed Results
Expandio provides professional services including consulting, marketing and advertising services, digital strategy, implementation support, and related services as agreed with the Client.
Unless expressly agreed in writing, Expandio does not guarantee specific outcomes, results, revenue, lead volume, conversion rates, platform approvals, or performance metrics. All Services are provided on a best effort basis.
5. Contract Formation
A binding contract is formed when the Client accepts an offer issued by Expandio in writing, including by email, or when Expandio commences the provision of Services and the Client is aware of such commencement.
Offers are non binding unless expressly stated otherwise. Any estimates or timelines are indicative unless confirmed as binding in writing.
6. Communication and Notices
Legally relevant notices, approvals, and communications shall be provided in writing. Email is sufficient unless mandatory law requires a stricter form.
7. Client Obligations and Cooperation
The Client shall provide all necessary information, materials, access credentials, approvals, and feedback in a timely manner.
The Client warrants that all materials supplied are lawful and do not infringe third party rights. The Client is responsible for compliance with applicable laws and platform policies.
If the Client fails to cooperate, delays input, or changes requirements, Expandio may extend timelines, pause delivery, and charge for additional work.
8. Third Party Platforms, Accounts, and Costs
Certain Services depend on third party platforms whose rules, pricing, and availability may change.
Unless expressly agreed otherwise, the Client is the contractual party with such platforms. Expandio is not responsible for outages, enforcement actions, account restrictions, disapprovals, suspensions, or algorithm changes.
Advertising spend and third party fees are not included unless explicitly agreed and are billed directly by the respective provider.
9. Fees, Invoicing, and Payment
Fees are as stated in the offer, invoice, or written agreement and are exclusive of applicable taxes unless stated otherwise.
Payments may be made by credit card or bank transfer. Invoices are payable immediately unless agreed otherwise.
Expandio may require advance or milestone payments. Overdue invoices may result in suspension of Services.
10. Service Delivery and Acceptance
Services are delivered digitally via email, shared documents, live calls, or authorised access to Client systems.
Deliverables are deemed accepted if used, published, or not disputed within a reasonable time after delivery.
11. Refund, Cancellation, and Disputes
Expandio provides customised professional services. Refund eligibility depends on whether work has started.
If cancelled before work starts, payments will be refunded minus non refundable transaction fees.
Once work has started, no full refund is available. Partial refunds may be granted at Expandio’s discretion. Completed Services are non refundable.
Disputes must first be submitted in writing to office@expandio.at.
12. Intellectual Property and Licence
All intellectual property rights in Deliverables remain with Expandio until full payment has been received. Upon full payment, the Client receives a non exclusive, non transferable licence for the agreed purpose only.
13. Confidentiality
Both parties shall keep all non public business and technical information confidential, even after termination.
14. Data Protection
Each party is responsible for compliance with applicable data protection laws. Additional agreements may apply where required.
15. Subcontractors
Expandio may engage subcontractors to perform parts of the Services and remains responsible as required by law.
16. Limitation of Liability
Expandio is liable only for intent and gross negligence. Liability is limited to the amount paid for the relevant Service. No liability is accepted for indirect damages, loss of profit, or third party platform failures.
17. Force Majeure
Neither party is liable for delays or failure to perform due to events beyond reasonable control.
18. Termination
Either party may terminate for material breach. Fees for Services already rendered remain payable.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Florida, USA. Jurisdiction lies with the competent courts of Florida.
20. Amendments
Expandio may update these Terms from time to time. The version applicable at contract formation applies.
21. Severability
If any provision is held invalid, the remaining provisions remain fully effective.
